General Principles
Crionet S.r.l. operates in the sport technology, media, broadcasting and digital solutions sectors, developing and providing technological products and services for sporting events worldwide.
With the aim of promoting increasingly efficient and ethical management and strengthening its corporate organization, Crionet has adopted an Organization, Management and Control Model pursuant to Italian Legislative Decree No. 231/2001.
Legislative Decree No. 231/2001
Italian Legislative Decree No. 231 of 8 June 2001 introduced a system of administrative liability for companies and other legal entities in relation to certain offences committed in their interest or for their benefit.
This liability may arise from offences committed by persons holding representative, administrative or management functions, by persons exercising management or control of the entity, as well as by persons subject to their direction or supervision.
The organizational model provided for by the Decree is intended to identify activities in which relevant offences may potentially be committed and to establish appropriate protocols, financial management controls, information flows to the Supervisory Body and a disciplinary system designed to ensure compliance with the Model.
The Model also provides for internal reporting channels, protection against retaliation and appropriate disciplinary measures, in accordance with the applicable whistleblowing legislation.
Predicate offences and sanctions
Corporate liability under Legislative Decree No. 231/2001 is limited to the specific categories of offences identified by the legislation.
These include, among others, offences against the Public Administration, cybercrime and unlawful data processing, corporate offences, money laundering, offences relating to health and safety at work, environmental offences, tax offences, copyright offences, offences relating to organized crime and terrorism, and fraud in sporting competitions.
The sanctions applicable to entities may include financial penalties, disqualification measures, confiscation and publication of the judgment, depending on the circumstances and the applicable provisions.
Confindustria Guidelines
In developing its Organization, Management and Control Model, Crionet has also taken into account the principles established by the Confindustria Guidelines for the construction of organizational, management and control models pursuant to Legislative Decree No. 231/2001.
These Guidelines identify key elements of an effective prevention and control system, including risk assessment, specific organizational protocols, a clear organizational and authorization framework, operating procedures, management controls, employee communication and training, an independent Supervisory Body and an appropriate disciplinary system.
The internal control system is based, in particular, on the principles of verifiability, documentation, consistency of operations, segregation of duties and proper documentation of controls.
